CCG Monument Holdings entered into a stock purchase agreement to acquire 10,000,000 shares (44.14% stake) of 09women via off-market transaction and filed a substantial shareholding report.
Total acquisition amount is KRW 72 billion, with a per-share price of KRW 7,200, representing a 28.6% premium over the current price of KRW 5,600.
For the remaining 4,820,000 shares (21.27% stake), the former major shareholders granted CCG Monument Holdings a put option at KRW 4,774 per share.
The closing date was postponed twice from May 12, 2026 to May 19, and finally to June 1, 2026.
The filer stated the purpose of exercising influence over management (e.g., appointment of directors, capital changes).
