Change of Control at 72 Billion KRW with Premium of 7,200 KRW per Share

Joo-young Kim, the largest shareholder of 09women, and co-holder TS 2018-12 M&A Fund entered into an agreement to transfer 10 million shares (44.14%) to CCMomentum Holdings for 72 billion KRW (7,200 KRW per share), representing a 20% premium to the current market price of 6,000 KRW.
The closing date was amended to June 1, 2026 (or earlier mutual agreement), from May 19, 2026.
A put option is granted to the buyer for the remaining 4.82 million shares (21.28%) at approximately 4,774 KRW per share.
